Corporate seals are used to issue stock certificates, and they are used to execute deeds in the corporation’s name. In the United States many deeds can be executed without a corporate seal, but overseas they are still required because the corporate seal authentic the transactions. Issuing stock overseas requires a corporate seal so that the stock certificate is legitimate, without the corporate seal, anybody can make a fake stock certificate.
